COMMERCIAL PUBLIC PERFORMANCE LICENSE AGREEMENT
🛡️ LICENSE SUMMARY (TL;DR)
Please read these four essential rules to ensure your business remains legally protected:

Rule 1: ACTIVE SUBSCRIPTION ONLY – This license is valid ONLY while your subscription is active and paid in full. If your subscription lapses, your legal right to perform this music ends immediately.

Rule 2: AUTHORIZED CHANNELS ONLY – Music must be performed exclusively through the official J Music & Sound platform: the proprietary web player (www.jmusicsound.com) or authorized physical media (USB) provided directly by the Company.

Rule 3: NO 3RD PARTY PLATFORMS – Playing our music via YouTube, Spotify, or Apple Music for commercial use is STRICTLY PROHIBITED and will void your license, exposing your business to copyright infringement penalties.

Rule 4: SINGLE LOCATION – Each subscription covers one (1) physical business location. Separate subscriptions are required for additional branches or locations.

By using this service, the Licensee agrees to be bound by the terms of this Agreement.

This Agreement becomes effective upon the start of the Licensee’s subscription.
1. LICENSOR
J Music & Sound ("Company"), the sole owner and controller of all copyrights, master recordings, and compositions within its proprietary catalog.
2. LICENSEE
The individual or business entity identified on the corresponding receipt or subscription record ("Licensee").
3. GRANT OF LICENSE
J Music & Sound grants a limited, non-exclusive, non-transferable, revocable license to publicly perform audio solely as background ambient music within the licensed physical business location. This license is intended for commercial in-store use only.
4. CONDITIONS OF VALIDITY
4.1 Subscription Requirement
This license is valid only while the Licensee maintains an active and fully paid subscription. Any lapse or termination results in immediate revocation of the license.
4.2 Authorized Use
Music playback is permitted only through the official J Music & Sound platform (www.jmusicsound.com) or authorized physical media (USB) provided directly by the Company. Any use outside of the authorized platform or approved physical media is strictly prohibited.
4.3 Physical Media Restrictions
If using authorized USB media, playback is limited to a single device at the licensed business location. Copying, duplicating, transferring, or distributing the content to any other device or location is strictly prohibited.
4.4 No Recording or Reproduction
Licensee shall not record, capture, reproduce, store, or redistribute any audio content by any means.
5. OWNERSHIP & INTELLECTUAL PROPERTY
All rights, title, and interest in and to the music, including all copyrights and related rights, remain exclusively with J Music & Sound.
No ownership, license rights beyond those expressly granted herein, or intellectual property rights are transferred to the Licensee under this Agreement.
6. MONITORING & COMPLIANCE
J Music & Sound reserves the right to monitor usage and verify compliance with this Agreement. This includes reasonable technical tracking of player activity and subscription status to ensure authorized use of the Service.
7. TERMINATION & ENFORCEMENT
Any unauthorized use, misuse, or continued use following termination of this Agreement constitutes copyright infringement under the U.S. Copyright Act (17 U.S.C. § 501).
Statutory damages may range from $750 to $150,000 per infringed work under 17 U.S.C. § 504, in addition to any other legal remedies available.
8. INDEMNIFICATION & LIABILITY

Licensee agrees to indemnify, defend, and hold harmless J Music & Sound, its owners, affiliates, and representatives from and against any claims, damages, liabilities, costs, or expenses arising from:
(a) misuse of the service
(b) breach of this Agreement
(c) unauthorized music usage at the licensed location

To the maximum extent permitted by law, J Music & Sound shall not be liable for any indirect, incidental, or consequential damages.

Total liability shall not exceed the total subscription fees paid by the Licensee.
9. DISCLAIMER
This license applies solely to the J Music & Sound proprietary catalog and does not replace or substitute any public performance licenses (including but not limited to ASCAP, BMI, SESAC, or GMR) that may be required by law for music played outside of this catalog.
10. MODIFICATION OF TERMS
J Music & Sound reserves the right to modify or update this Agreement at any time. Notice of material changes will be provided via email to the address on file prior to the changes taking effect. Your continued use of the service after such changes constitutes acceptance of the revised terms. Failure by J Music & Sound to enforce any provision of this Agreement shall not constitute a waiver of such provision or any other rights.
11. GOVERNING LAW
This Agreement shall be governed by and construed in accordance with the laws of the State of New York, without regard to conflict of law principles.
12. SEVERABILITY
If any provision of this Agreement is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.
13. ENTIRE AGREEMENT
This Agreement constitutes the entire agreement between the parties and supersedes all prior or contemporaneous agreements, communications, or understandings, whether written or oral.
14. PHYSICAL MEDIA & OFFLINE LICENSING
If the Licensee purchases authorized physical media (USB) from J Music & Sound, this license extends to offline playback strictly at the single licensed business location.
Playback is limited to one (1) device only.
Copying, duplicating, transferring, distributing, or installing the content on any additional device or location is strictly prohibited and constitutes a violation of this Agreement.
15. CANCELLATION & REFUNDS
(a) Subscription Cancellation: Licensee may cancel their subscription at any time via the account settings. However, all subscription fees are non-refundable. Following cancellation, the license remains valid only until the end of the current paid billing cycle.
(b) Physical Media (USB): Refunds for physical media are subject to the Company’s separate Return Policy. Once the music content on the USB has been accessed or the seal is broken, no refunds will be issued due to the nature of the digital content.
(c) No Pro-rated Refunds: J Music & Sound does not provide pro-rated refunds or credits for any partial-month subscription periods or unused services.
